Partner agreement

Version 2026-10-24. Between My Shopper Buddy LLC (“MSB”) and the partner who applies to sell through MyShopperBuddy.

1. Seller of record, taxes and payment

Products are sold to customers on MyShopperBuddy by MSB as seller of record. MSB collects payment through Stripe and calculates, collects and remits sales tax through Stripe Tax. Sales tax and any shipping charges are not part of partner earnings.

2. Commission, fees and payouts

MSB retains a flat commission of 10% of the item price of each sale (net of refunds), regardless of price. Stripe payment-processing fees are allocated to the partner’s share of each order and deducted. Payouts are made every two weeks for the completed two-week period, by ACH or check, after MSB receives the partner’s signed IRS Form W-9. Payout = item sales − refunds − processing fees − commission. Refunds, chargebacks and disputes that arrive after a period is paid are deducted from later payouts.

3. Orders and shipping

MSB emails the partner each order. The partner packs and ships to the customer promptly, adds the tracking number in the portal, and ships at the partner’s own cost (the store offers free shipping). Orders not shipped within the handling time stated in the portal may be cancelled and refunded, and the cost is deducted from the partner.

4. Returns and refunds

Customer refunds follow MSB’s published return policy. Refunded item value, and the related commission, are reversed on the partner’s statement.

5. Compliance with US law

The partner represents and warrants that every product listed is lawful to sell in the United States and in every state it ships to, and that product, packaging, labeling, advertising, ingredient and country-of-origin statements comply with all applicable federal, state and local laws and regulations, including as applicable the FD&C Act and FDA food labeling rules, USDA rules, the Consumer Product Safety Act and CPSIA, FTC Act and advertising rules (including no unsubstantiated health claims), California Proposition 65, and recall obligations. The partner will promptly notify MSB of any recall, safety issue or regulatory inquiry, and will stop selling affected products immediately. MSB may review, reject, remove or suspend any listing at any time.

6. Prohibited items

The following may never be listed: firearms, ammunition or weapons; explosives, fireworks or hazardous materials; tobacco, nicotine or vaping; alcohol; cannabis, hemp-derived intoxicants, kratom or controlled substances; prescription drugs or medical devices; adult or sexual content; counterfeit or unauthorized goods; gambling; endangered species or wildlife products; recalled products. Products that make health, disease or medical claims are not accepted.

7. Partner responsibility for its products

The partner is the manufacturer, brand owner or authorized supplier of its products and is solely responsible for their safety, quality, ingredients, allergen disclosure, labeling, packaging, advertising claims, intellectual-property clearance and regulatory compliance. MSB does not manufacture, inspect, store or ship partner products and does not guarantee them. The partner warrants good title, that the products are as described on the listing, and that they do not infringe anyone’s rights.

8. Indemnification

The partner will defend, indemnify and hold harmless MSB, its owners, members, officers, employees and agents from and against all claims, demands, suits, losses, liabilities, fines, penalties, recall and withdrawal costs, refunds, chargebacks, damages, settlements, and reasonable attorneys’ fees and costs arising out of or relating to: (a) any partner product, including defects, contamination, adulteration, mislabeling, allergen or safety issues, injury, illness or property damage; (b) the partner’s acts or omissions, including late, wrong, damaged or missed shipments; (c) the partner’s breach of this agreement or violation of law; (d) any intellectual-property or advertising claim; and (e) any recall or regulatory action. This obligation survives termination. MSB may choose its own counsel at the partner’s expense and the partner may not settle any claim that imposes obligations on MSB without MSB’s written consent.

9. Insurance

Before any product is approved, and for as long as it is sold, the partner must carry commercial general and product-liability insurance of at least $1,000,000 per occurrence and $2,000,000 aggregate (including product recall or contamination coverage where the partner sells food), from a reputable insurer, naming My Shopper Buddy LLC as an additional insured, and must provide a certificate on request and on each renewal. MSB may remove products if coverage lapses.

10. Set-off, holds and recovery

MSB may deduct from any payout, or invoice the partner for, amounts the partner owes under this agreement, including refunds, chargebacks, dispute fees, shipping-failure refunds, recall costs and indemnified losses. MSB may withhold payouts for a reasonable period while a claim, dispute, recall or compliance question is investigated. If a payout is negative, the balance carries forward and is payable on demand.

11. Recalls and removal

The partner will notify MSB within 24 hours of any recall, safety notice or regulatory inquiry involving a listed product and will cooperate fully, including notifying affected customers at the partner’s cost. MSB may immediately remove any listing or suspend the partner at its discretion, with no liability to the partner.

12. Limits on MSB’s liability

MSB acts as a sales channel. To the fullest extent permitted by law, MSB is not liable to the partner for indirect, incidental, special or consequential damages or lost profits, and MSB’s total liability to the partner under this agreement will not exceed the commissions MSB retained on the partner’s sales in the three months before the claim. Nothing limits liability that cannot be limited by law.

13. Independent parties, governing law, term

The partner is an independent business, not an employee, agent or partner of MSB, and is responsible for its own taxes, permits and licenses. This agreement is governed by the laws of the State of Texas, and disputes will be brought in the state or federal courts located in Collin County, Texas. Either party may end the relationship at any time on written notice; payouts for completed periods are still settled, subject to Section 10.
